01Who we are

Hushcontracts (“Hushcontracts”, “we”, “us”, “our”) is an AI-assisted B2B sourcing service: a buyer tells us what they need, and we source, vet, and return qualified quotes from suppliers. Hushcontracts is an early-stage service operated by its founding team in India and is currently being tested ahead of full launch. 02Our role

Hushcontracts is a sourcing and matchmaking service. We help a buyer find suppliers and obtain comparable quotes. The actual purchase contract for any goods or services is directly between the buyer and the supplier. We are not a party to that contract, not the seller, not the buyer’s agent for the purchase, and not a marketplace that takes title to goods. We do not manufacture, stock, ship, or guarantee any product or service.

We do our best to vet suppliers and present accurate information, but you are responsible for your own due diligence before you contract with anyone. Quotes are indicative until you and the supplier agree final terms directly.

03How it works

• Post a requirement. A buyer describes what they need. There is no charge to post, and no account is required.
• We source & vet. We find suppliers who can genuinely fulfil the requirement, check they are real and responsive, and gather quotes.
• Compare, free. We send the buyer a private link to compare the quotes. Comparing is always free and carries no obligation.
• Choose & connect. If the buyer decides to go ahead with a supplier we sourced, we introduce the two sides so they can finalise and transact directly. Our finder’s fee applies at this point (see below).

04Fees — the finder's fee

Posting a requirement, receiving quotes, and comparing them is free for buyers. We charge a finder’s fee only when a buyer chooses to go ahead with a supplier we sourced for them. The fee is a small percentage of the agreed order value (or a fixed amount we tell you in advance), plus applicable taxes (GST). We will always show you the fee before you commit, and you are free to decline at no cost.

Suppliers are never charged — there are no listing fees, subscriptions, or commissions for suppliers. We may waive the buyer’s finder’s fee at our discretion, for example during early testing.

05Payments

The finder’s fee is collected through a third-party payment provider (Razorpay). When you pay, you also agree to that provider’s terms. Payment-processing charges may apply and, where they do, are included in the amount shown to you. A tax invoice is issued for the finder’s fee. Refunds and cancellations of the finder’s fee are governed by our Cancellation & Refund Policy, which forms part of these Terms.

06We don't hold your trade money

The money for the actual goods or services flows directly between the buyer and the supplier on whatever terms they agree. Hushcontracts does not hold, escrow, collect, or handle the purchase consideration, and does not act as a payment aggregator for the trade. Our only charge is the finder’s fee described above.

07Eligibility

You must be at least 18 years old and able to enter a legally binding contract under the Indian Contract Act, 1872, and you must give accurate information. Hushcontracts is intended for business (B2B) sourcing in India.

08Your responsibilities

You agree not to:

• Ask us to source your requirement and then, to avoid the finder’s fee, transact with a supplier we introduced while telling us the deal did not happen. This is a breach of these Terms.
• Post false, misleading, infringing, unlawful, or harmful content, or impersonate any person or business.
• Use the information or introductions we provide for spam, resale of contact lists, or any purpose other than your own genuine sourcing.
• Attempt to breach the platform’s security, scrape it without permission, or use it for money laundering or any activity illegal under Indian law.

09For suppliers

If you apply as a supplier, you confirm the information you give about your business, capacity, and offerings is accurate, and that you can actually fulfil what you quote for. We share your details with a buyer only in connection with a genuine requirement, and only as needed to help you win and fulfil the work. Being listed with us is free and does not guarantee any enquiry or order.

10Privacy & confidentiality

We treat your contact details and requirement as confidential. We do not post them publicly or sell them, and we do not reveal a buyer’s identity to bidding suppliers during the quoting stage. How we handle personal data is set out in our Privacy Policy.

11Disclaimers

The service is provided “as is” and “as available”. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the identity, conduct, solvency, or the quality, safety, or legality of any supplier’s goods or services. Any dealing you enter into with a supplier is at your own risk and your own commercial judgement.

12Limitation of liability

To the maximum extent permitted by law, Hushcontracts will not be liable for indirect, incidental, special, or consequential losses, or for loss of profit, data, or goodwill, arising from your use of the service or from any dealing between a buyer and a supplier. For all claims, our total liability to you is capped at the greater of (a) the finder’s fees you paid us in the three months before the claim, or (b) ₹10,000. Nothing here limits liability that cannot be limited under law.

13Suspension & termination

You may stop using Hushcontracts at any time. We may suspend or stop providing the service to you, or remove content, if you breach these Terms, create risk or legal exposure, or where required by law. Ending your use does not affect a finder’s fee already due on a match you chose to proceed with.

14Changes to these terms

We may update these Terms as the service grows or the law changes. If a change is material, we will give reasonable notice — for example by email or an on-site notice. Continuing to use Hushcontracts after a change takes effect means you accept the updated Terms.

15Governing law & jurisdiction

These Terms are governed by the laws of India. The courts at Kolkata, India will have exclusive jurisdiction, subject to any right you have under consumer-protection law to bring proceedings elsewhere.

16Grievance & contact

For any complaint or grievance, contact us at support@hushcontracts.com. We acknowledge grievances within 48 hours and aim to resolve them within the timelines set by applicable Indian law.
